Welcome to the Investing.com Referral Program ("Program"). As a participant, you will be able to market Investing.com products through your promotional channels (such as your website, social media accounts, newsletters, public appearances etc.), using a unique tracking method. For each user that purchases an Investing.com subscription through your tracking method, you will be entitled to receive a referral fee, all as detailed in the Referral Program Terms below (the “Terms”).
Program Overview. Exhibit A details the commercial terms of the Program, such as the applicable products (the “Products”), the referral fee, the discount (“Discount”) and additional relevant terms.
Tracking Method. As a participant, you will receive a unique tracking code from Investing.com (either a discount code, designated link or such other method determined by us) (the “Tracking Method”).
Referral Fee.
You will earn a one-time referral fee (the “Fee”) for each user that makes a valid purchase of a Product using your Tracking Method (a “Qualified User”). You shall not be entitled to payment for any user that purchases a subscription without using the correct Tracking Method.
The Fee is paid solely for a Qualified User’s initial subscription, and you shall not be paid any Fee for any future renewal or upgrade made by a Qualified User.
The Fee is paid only for fully processed payments, and in no event will any Fees be paid for canceled, refunded, charged back or fraudulent transactions. Fraudulent transactions may include (without limitation) automated bots, a person paid to purchase a Product. Other than the Discount granted by us, you are prohibited from offering any incentive to encourage users to purchase a Product through your Tracking Method (e.g., monetary incentive, cashback or other rewards).
We maintain the right to change the price of the Products at any time. You acknowledge that the pricing of the same Product may change between different countries or different online editions of the website, and therefore, the Fee may differentiate between users from different countries and editions. Furthermore, we have the right to run any promotion or grant any discount to our users (a “Promotion”), at our sole discretion and without any notice to you.
Reporting. We will provide you with monthly data regarding purchases made by Qualified Users. Such data shall not include any personal data of the Qualified Users, nor shall it include any refund or charge-back information, and you shall not be entitled to such information. The Fees will be based solely on the numbers tracked in our systems, which are considered final. If you dispute the data provided by us for a given month, please notify us within 7 days from the beginning of the following month, otherwise the data will be considered fully approved by you.
Payment Terms. The Fee shall be paid monthly, within 30 days of receipt of a valid invoice from you. The Fee is inclusive of all taxes, and we will not pay any additional tax on top of the Fee. You shall bear all taxes related to any payments made to you under the Program. We are entitled to withhold any withholdings taxes required under any applicable law. Other than the Fee, you shall not be entitled to any additional payments, including, without limitation, reimbursement of expenses.
Content Guidelines.
Any content created and distributed as part of the Program (the “Content”), shall comply with our marketing guidelines, as amended from time to time. We have the right to request that you delete or modify any Content at any time if we believe it violates our content guidelines, in our sole discretion, and you shall immediately comply.
the Content shall not include language or imagery that: (a) is libelous, offensive, hurtful, obscene, violent, abusive or pornographic, (b) infringes on any third-party intellectual property, (c) depicts any illegal acts, or (d) otherwise violates any applicable laws (collectively, “Prohibited Content”).
You shall not make any promises regarding the results of using Investing.com or the Products, including without limitation, promising that an investment will be successful or guaranteeing a minimum return from an investment. We have no liability regarding any promises made by you in breach of this section.
Privacy Issues. As part of your participation in the Program, we will collect certain personal data, which may include, your contact information, payment information, program activity results, etc. Such data is collected and used in order to facilitate your participation in the Program, to assess the success of the Program and as part of our ongoing research and analysis activities. We may retain your data through a third-party system. If you do not agree with the above, please immediately cease your participation in the Program.
No Warranty. Neither party guarantees the effectiveness of the Program. We do not warrant that the Products will be uninterrupted, error-free, completely secure, accurate of complete. Without derogating from the generality of the foregoing, the Products are provided “AS IS” and with all faults. You acknowledge that the Products may contain bugs, errors and other problems that could cause inconsistent performance and other failures. You shall not promise your users otherwise.
Limitation of Liability. In no event will Investing.com or any of its officers, directors, employees, contractors, licensors or other representatives be liable for any indirect, incidental, consequential or exemplary damages, loss of revenue, business or anticipated profits of any kind, even if they have been advised of the possibility of such damages in advance. Other than paying the Fee, we have no liability towards you or anyone on your behalf or any third party in connection with the Program.
Intellectual Property. All Content created by the you for the Program, shall be owned by you. We are granted a non-exclusive, perpetual, sublicensable, unlimited license to use, distribute, display, modify, reproduce, or otherwise commercialize the Content, in any way or on any platform. We shall be entitled to modify the Content at our discretion, without any notice and without your consent.
Representation and warranties. You represent that: (a) you are the original and sole creator of the Content. You can incorporate third party elements not created by you into the Content only if you have the required licenses and rights, (b) you shall only market the Product through promotional channels regarding which you maintain full editorial control, and such channels do not include any Prohibited Content, (c) you shall be responsible to ensure that you and you Content are all in compliance with any applicable law or the terms and conditions of any social media platforms, (d) the Content will not include any investment or financial advice; and (e) you will clearly and conspicuously disclose your relationship with us in or next to any Content, as required under applicable laws or social media terms.
Termination.
Both parties shall be entitled to terminate your participation in the Program with forty eight (48) hours written notice (email notice will suffice). If you breach the Terms or cause any harm to Investing.com, then we will be entitled to terminate your participation in the Program, effective immediately, and you shall not be entitled to receive any further payment whatsoever from us.
After termination, you will continue to be eligible to receive the Fees resulting from Qualified Users that make a purchase during the one (1) month after your participation is terminated. Thereafter, you shall not be entitled to any Fee whatsoever from Investing.com.
Immediately after your participation is terminated, or upon our written request, you shall return to us any documents or media provided to you by us, and shall cease using our intellectual property for any purpose (including our logos and trademarks).
Obligations that by their nature are intended to survive the termination of these Terms shall survive such termination, including without limitation, Section ‎‎8 [No Warranty], Section ‎9 [Limitation of Liability], Section ‎10 [Intellectual Property], Section ‎‎11 [Representations and Warranties].
General.
No Relationship. The relationship of the parties is solely that of independent contractors. Nothing in these Terms shall establish any employment relationship, partnership or joint venture. You are not authorized to bind Investing.com or create any commitment on its behalf.
Assignment. You may not assign or delegate any of your rights, duties or undertakings under these Terms to any third party without our prior written consent, and are not permitted to allow any third party to promote the Tracking Method on your behalf. Any unauthorized assignment or delegation shall be null and void.
No Waiver. No failure or delay of either party in exercising any power or right hereunder shall in any way restrict or diminish such party's rights and powers under these Terms, or operate as a waiver of any breach or nonperformance by either party of the Terms.
Final Agreement. These Terms constitute the entire understanding between the parties, and supersede all prior discussions, understandings, correspondence and agreement with regard to the Program. We are entitled to update these Terms at any time, without prior written notice to you.
Choice of Law. These Terms shall be interpreted according to the laws of England and Wales, without regard to conflict of law rules or principles. Should the parties not be able to resolve such disputes between themselves within 30 days from the claim begin made, then any dispute relating to or arising from these Terms shall be referred to arbitration under the Rules of Arbitration of the ICC by one arbitrator appointed. The arbitration shall be held in the English language in London, England. The arbitrator’s decision will be final and binding. All expenses, including the arbitrator’s fees, will be borne equally by the parties, unless otherwise awarded by the arbitrator. Neither party will raise any claims against the enforcement of the arbitrator's ruling in any applicable jurisdiction. Nothing in this section will be construed as prohibiting any party from applying to a court for equitable or injunctive relief with or without prior written notice to the other party.
Investing.com Entity. As part of this Program, you will be engaging with Fusion Media Limited, a BVI Company, Registration No. 1442989, 3076 Sir Francis Drake's Highway, Road Town, Tortola, British Virgin Islands, VG1110, unless we determine that an alternative entity is more appropriate due to your geographic location. Any reference herein to Investing.com, “Us”,”We” (or similar term) shall refer to the applicable Investing.com entity.

Exhibit A: Commercial Terms
Products: InvestingPro
Discount: the Discount amount granted through your Tracking method will be determined by us, in our sole discretion, and may be updated from time to time. We may apply different discounts throughout the year, and in different countries or online editions. If we are running a seasonal discount, your Tracking Method shall not grant any further discount.
Fee: For each Qualified User, you shall be entitled to receive a one-time payment equal to 70% of the Net Revenue from such Qualified User, as defined below.
“Net Revenue” shall mean the amount actually paid by the Qualified User and actually received by Investing.com in connection with the Qualified User’s initial subscription period, but excluding: (i) any tax amount paid by the Qualified User (for example, sales tax, VAT or other taxes charged); (ii) any amounts charged back or refunded to the Qualified User; (iii) any expenses or fees deducted from the Qualified User’s payments, including without limitation, credit processing fees, and (iii) any future payments made by such Qualified User in connection with the renewal of their subscription to a Product; For the avoidance of doubt, you shall not be entitled to any Fee in connection with any future payments made by a Qualified User. Furthermore, the Net Revenue shall exclude any discounts applied to the price, including without limitation, the discount applied through the Tracking Method, or any promotion or seasonal discount offered by us.	
Minimum Balance: if your monthly payment is below $200, we have the right to roll it over to subsequent months until the total Fee exceeds $200 or until your participation is terminated.

Financial Schools: For participants of the Program that are trading/financial schools (the “Schools”), the following will also apply:
As part of your participation in the Program, we will grant the students who participate in any trading courses in your school (each, a “Student”), free access to the InvestingPro product, solely during the duration of the course they are taking.
Upon the completion of the course, each Student will be given the opportunity to purchase a subscription to the Product, which may be offered by us at a Discount. 
For each Student who purchases the product, you shall be entitled to a Fee, as detailed herein.
You will receive a designated Tracking Method through which the Students can open an account for themselves and receive free access to the relevant product. You shall be prohibited from providing such code to any person who is not a Student, or to distribute the code through any channels which are accessible by people who are not Students. We are entitled to impose certain restrictions on the free Student accounts, including without limitation, on the number of free accounts granted, or the duration of the free access to the product.
For the avoidance of doubt, all other terms set forth in the Terms and in this Exhibit A shall fully apply to the Schools and to Fee due to the Schools hereunder.
